Terms of Service

Please read these Terms carefully before registering. By creating an account or using SmartNet, you agree to be bound by these Terms.

About SmartNet

SmartNet is a digital workforce readiness and referral networking platform operating in Kenya. We provide AI-evaluated online courses covering 20 mandatory workforce-readiness subjects, career development resources, and a 5-level referral network that allows members to earn commissions when people they refer activate their accounts.

These Terms of Service ("Terms") govern your access to and use of the SmartNet platform, including its website, API, and all related services (collectively, the "Platform").

Eligibility & Account Registration

  • You must be at least 18 years old to register on SmartNet.
  • Registration is by referral only. You must possess a valid referral code issued by an existing, activated SmartNet member.
  • You agree to provide accurate, complete, and current information during registration and to keep it updated.
  • Each person may only hold one account. Creating duplicate accounts to exploit the referral system is prohibited and may result in immediate termination.
  • You are responsible for safeguarding your password and for all activity that occurs under your account.
  • Your phone number must be a valid Kenyan mobile number (+254). It is used for payment processing and identity verification.

Activation Fee & Payment Terms

One-Time Activation Fee

To gain full access to the Platform, a one-time activation fee of KSh 2,500 is required after email verification. This fee is:

  • Non-refundable once payment has been successfully processed.
  • Payable via Safaricom M-Pesa (STK Push) or Airtel Money Kenya.
  • Required once only — your account will not be charged again for standard access.

Payment Processing

Activation payments are collected securely via Safaricom M-Pesa Lipa Na M-Pesa (STK Push). SmartNet does not store your M-Pesa PIN or any payment instrument credentials. Transaction records are retained for audit and dispute resolution purposes.

Payment Window

Once a payment request is initiated, you have 24 hours to complete the M-Pesa confirmation. After this window, the payment request expires and you must restart the payment process. An expired payment does not activate your account.

Failed Payments

If a payment attempt fails or is cancelled, your account will remain in "pending payment" status. You may retry the payment at any time. SmartNet is not liable for delays caused by mobile network issues or third-party gateway downtime.

Referral System & Earnings

How the Referral System Works

SmartNet operates a 5-level referral network. When someone registers using your referral link and activates their account by paying the KSh 2,500 fee, a fixed commission is credited to your upline network:

  • Level 1 (direct referrer): 20% of the activation fee (KSh 500)
  • Level 2: 16% of the activation fee (KSh 400)
  • Level 3: 12% of the activation fee (KSh 300)
  • Level 4: 8% of the activation fee (KSh 200)
  • Level 5: 4% of the activation fee (KSh 100)

Commissions are credited regardless of your own course progress. Withdrawing those earnings is unlocked progressively as you complete courses — see Withdrawal Eligibility below.

Earnings Eligibility

Commission earnings are calculated monthly and are subject to:

  • Your account being active and in good standing (not dormant or suspended).
  • The referred user's activation payment being successfully confirmed via M-Pesa.

Withdrawal Eligibility

Earnings are posted as pending immediately after each referral activation. Withdrawal of earnings is unlocked progressively as you complete mandatory workforce-readiness courses:

  • Complete 1 course: unlock 20% of earnings for withdrawal
  • Complete 4 courses: unlock 40%
  • Complete 8 courses: unlock 60%
  • Complete 12 courses: unlock 80%
  • Complete all 20 courses: unlock 100%

Withdrawal limits apply: you may request one withdrawal per week, up to a maximum of KSh 100,000 per calendar month. The minimum withdrawal is KSh 500, and a 5% service fee is deducted from each payout.

Account Dormancy

Accounts with no login activity for 6 consecutive months become dormant. During dormancy, referral commissions that would have been paid to you are redirected to SmartNet's company account. Your account is automatically reactivated upon your next login — no data or tree position is lost.

No Earnings Guarantee

SmartNet makes no guarantee of any specific level of income or earnings. Referral commissions depend entirely on the activity of people within your network. SmartNet is a professional learning platform first; earnings are a secondary benefit of building a professional network.

Platform Usage & Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any Kenyan law or regulation.
  • Attempt to gain unauthorised access to any part of the Platform, its servers, or databases.
  • Use automated tools (bots, scrapers, scripts) to interact with the Platform without written permission.
  • Create fake referral accounts, self-refer, or manipulate the referral tree in any way.
  • Share or resell your account credentials to another person.
  • Publish false, misleading, or defamatory content about SmartNet or its members.
  • Attempt to reverse-engineer, decompile, or copy any part of the Platform.

Violations may result in immediate account suspension or termination without refund.

Courses, Content & Intellectual Property

Mandatory Courses

SmartNet Kenya requires completion of 20 mandatory workforce-readiness courses covering essential professional skills — including Professional Communication, Time Management, CV & Personal Branding, Interview Preparation, Digital Productivity, Networking & Etiquette, Problem Solving, Financial Literacy, Entrepreneurship, Customer Service, Leadership & Teamwork, Workplace Health & Safety, Remote Work, Workplace Ethics, Sales & Business Development, Digital Entrepreneurship, Public Speaking, Emotional Intelligence, Project Management, and more.

Course Content Ownership

All course materials, AI-generated questions, feedback, and assessments available on SmartNet are the intellectual property of SmartNet Kenya or its licensed content providers. You are granted a limited, non-exclusive, non-transferable licence to access and use course content solely for your personal learning.

Your Content

If you submit any content (quiz answers, feedback) to the Platform, you grant SmartNet a royalty-free licence to use that content for AI training, platform improvement, and quality assurance purposes, subject to our Privacy Policy.

AI-Graded Assessments

Course assessments are graded using AI (powered by OpenAI or Anthropic APIs). A passing score of 60% or above is required to mark a module as completed. You may retake any module if you do not pass on the first attempt (a 24-hour cooldown applies between retakes).

Account Termination

SmartNet reserves the right to suspend or terminate your account at any time if:

  • You breach any provision of these Terms.
  • Fraudulent activity is detected on your account.
  • You provide false information during registration.
  • Required by law or court order.

You may request account deletion by contacting us at the address below. Upon deletion, your referral tree positions and earned commissions that have not yet been paid out will be forfeited.

Disclaimers & Limitation of Liability

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted availability.

To the maximum extent permitted by Kenyan law, SmartNet shall not be liable for:

  • Loss of income or profits arising from your participation in the referral programme.
  • Delays or errors caused by third-party services (Safaricom M-Pesa, mobile networks, AI providers).
  • Data loss resulting from events outside our reasonable control.
  • Indirect, incidental, or consequential damages of any kind.

Governing Law & Disputes

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the courts of competent jurisdiction in Kenya.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page and notify active users via in-app notification. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
